1) What I’ll Do
Great Day Business Coaching (“Great Day,” “we,” or “us”) will provide the coaching and services described in your selected Service Package. We’ll be prepared, keep clear notes, and share practical tools and guidance that helps you move forward.
2) What You’ll Do
You (“Client”) agree to show up on time, engage honestly, complete agreed action items, and pay fees when due. You’ll give us the access, information, and decisions we need to do great work.
3) Fees & Billing
- Start-Up Fee: Due at signing; non-refundable once the onboarding call is scheduled.
- Monthly Charge: Automatically processed on the 1st of each month for that month’s work.
- Minimum Term: A 3-month Initial Term applies. After that, the agreement continues month-to-month until either party ends it (see Section 8).
- Declined Payments: If payment is declined and cannot be rectified within 5 business days, scheduled coaching appointments will be cancelled. Resuming services may incur a $50 late fee.
4) Added Services & Changes
If you request work outside your current package, we’ll confirm in writing before starting. Added services may be billed at our hourly rate of $185 or by moving you to a different package that better fits the scope.
5) Scheduling & Cancellations
Please give 24 hours’ notice if you need to reschedule. Every effort will be made to accommodate scheduling changes, but it cannot be guaranteed. Missed sessions will be counted and forfeited.
6) Expenses
Ordinary tools and admin are included. Pre-approved out-of-pocket costs (for example, travel you request) will be billed at cost.
7) No Guarantees or Legal/Tax Advice
We’ll bring experience and best efforts, but results are not guaranteed. We do not provide legal, tax, or mental-health services. You should consult your attorney, accountant, or licensed professional for those matters.
8) Term & Ending the Agreement
- Initial Term: 3 months.
- After the Initial Term: Either party may end the agreement with 5 days’ written notice (email is fine).
- Early End During Initial Term: If you end early, the remaining months in the Initial Term become due when notice is given.
9) Confidentiality
We’ll keep your non-public business information confidential and use it only to deliver services. You may share our materials within your organization, but not publicly without permission.
10) Work Product & Materials
You own your own data and decisions. Great Day retains ownership of its frameworks, templates, and materials. We grant you a non-exclusive license to use materials we provide for your internal business use.
11) Limitation of Liability
To the fullest extent allowed by law, our total liability for any claim under this agreement is capped at the fees you paid to Great Day in the last 3 months. We won’t be liable for lost profits, lost data, or other indirect or special damages.
12) Independent Business Relationship
We’re an independent contractor. This agreement doesn’t create a partnership, employment, or agency relationship.
13) General Terms
- Governing Law: Ohio.
- Notices: Will be provided via email to the address provided by client.
- Changes: Any change must be in writing (email is fine) and agreed by both of us.
- Entire Agreement: This is the whole agreement and replaces prior discussions on these topics. If any partis unenforceable, the rest still applies.
- E-Signatures: Electronic signatures are valid and binding.
